The short version: forming a business means filing with a state to create a legal entity — an LLC or a corporation — that is separate from you personally. You choose the state and entity type; we prepare and file the paperwork and, on the Complete package, also obtain your EIN, draft your operating agreement and provide your first year of registered agent service.

What business formation is

Filing Articles of Organization (LLC) or Articles of Incorporation (corporation) with the state creates the entity. A working business usually also needs:

  • an EIN — the federal tax ID issued by the IRS;
  • internal rules — an operating agreement for an LLC, or bylaws for a corporation;
  • a registered agent — a person or company with a physical address in the state who accepts legal papers on your behalf.

The rules to know

  • Every state sets its own forms, filing fees and processing times, and some offer expedited processing. State fees are separate from ours and appear in your order summary before you pay.
  • A registered agent is required, and it should stay active after formation.
  • LLCs are flexible and pass income through to their owners; corporations suit raising outside investment. An S-Corp is a tax status (IRS Form 2553) rather than a separate kind of entity, so the S-Corp option covers that election where it applies.
  • If you form in one state but do business in others, you may also need to register there (“foreign qualification”).
